Seagate is seeking an experienced and highly skilled corporate and transactional lawyer. The ideal candidate will possess 5 to 8 years of legal experience in the areas of SEC reporting, corporate governance, Irish and Singapore company law, subsidiary maintenance, and U.S. capital markets transactions, including debt securities and lending transactions. We will consider candidates with relevant in-house legal experience at public companies and strong law firm attorneys for this position.

About the role - you will:

Report to the Assistant General Counsel and will work with others in the Legal Department to:

  • Provide advice and counsel on general corporate, company law, compliance, and corporate governance matters;
  • Advise on securities law matters, including preparing SEC filings such as Forms 10-K, 10-Q, 8-K, S-8, Proxy Statements, and Section 16 reports;
  • Assist with the preparation and planning for the annual meeting of shareholders;
  • Work with internal teams to draft and review earnings releases, press releases, and shareholder and investor communications, particularly for compliance with applicable securities laws;
  • Support and advise on U.S. financing and U.S. capital markets transactions including debt offerings, credit agreements, and other treasury-related matters;
  • Provide legal support and counseling to internal teams, including finance and treasury teams, regarding financial transactions and corporate projects;
  • Advise on NASDAQ-listed equity, executive compensation, and stock administration matters;
  • Assist with subsidiary maintenance matters and work with paralegals for these matters;

Monitor and analyze regulatory developments and best practices in securities, company law, and corporate governance arenas and drive change and education as appropriate.

About you:

  • Excellent written and oral communication skills and a team-oriented approach; and
  • Organized, hard-working, and highly professional, with the ability to thrive in a fast-paced work environment, manage numerous projects simultaneously without compromising attention to detail, and exercise sound judgment.

Your experience includes:

  • 5 - 8 years' experience in Securities (SEC) and Corporate Governance;
  • Subsidiary maintenance;
  • U.S. capital markets experience, preferably from a combination of top tier law firm and public company in-house work;
  • Working with U.S. equity compensation plans and executive compensation, including proxy statements;
  • Juris Doctorate and Bar Admission in good standing;

You might also have:

  • Environmental, Social, and Governance ("ESG") experience;
  • Experience with Irish and/or Singapore company law;

The estimated base salary range for this position: $112,200.00 - $166,700.00. Actual salary range is based on the regional labor market of the role in the geography in which the position is located based on the requirements of the job and your skills. This posted salary range is a good faith and reasonable estimate, and Seagate reserves the right to adjust this range depending on the qualifications of the selected candidate.
